Wholesale Terms & Conditions

These Wholesale Terms & Conditions ("Terms") govern your wholesale account with Hampton Farms ("HF", "we", or "us"). By submitting a wholesale application and / or placing an order, you agree to be bound by these Terms.
1. Account Eligibility & Application
Wholesale accounts are reserved for legitimate businesses with a verifiable Federal Employer Identification Number (EIN) and a genuine intent to resell our products in the ordinary course of business. Hampton Farms reserves the right to approve or decline any application at our sole discretion. Misrepresentation on the application is grounds for immediate account termination.
2. Wholesale Pricing & Confidentiality
Wholesale prices are confidential and exclusive to approved wholesale customers. You agree not to disclose our wholesale prices to third parties, including but not limited to retail consumers, competitors, or social media. Prices are subject to change with 30 days' written notice. Volume and promotional discounts may be offered at our sole discretion.
3. Minimum Order Requirements
A minimum order value may apply per shipment. Specific minimums vary by product category and will be communicated at the time of order. Special-order or full-pallet items are subject to additional minimum order quantities (MOQ).
4. Payment Terms
Payment is due at the time of order via credit card or ACH unless your account has been approved for Net 30 (or other) terms in advance. Past-due accounts will be suspended and may be sent to collections. Returned or rejected payments are subject to a $35 fee.
5. Tax Exemption & Resale Certificates
Tax-exempt status requires a valid, current resale certificate or state-issued tax exemption documentation on file with Hampton Farms. We may periodically request re-verification. Without valid documentation, applicable sales tax will be added to your order.
6. Shipping, Freight & Title
Shipping costs are the responsibility of the wholesale customer unless otherwise agreed in writing. Parcel orders ship via UPS or FedEx at rates calculated at checkout. LTL/pallet orders will be quoted separately after order placement and require your acceptance before shipment. Title and risk of loss pass to you upon carrier pickup at our facility (FOB Origin).
7. Damages, Shortages & Returns
Damages, shortages, or quality concerns must be reported within five (5) business days of delivery with photographic documentation. We will not be liable for claims filed after this window. Returns of saleable, unopened product are accepted within 30 days of delivery; a 15% restocking fee may apply. Custom, special-order, or perishable items are non-returnable.
8. Product Quality & Handling
You agree to store and handle our products in accordance with proper food-safety guidelines (cool, dry conditions; first-in-first-out rotation). We disclaim liability for product deterioration caused by improper handling after delivery.
9. Reseller Obligations
You agree not to misrepresent our products, repackage them in a manner that obscures origin, or sell expired stock. You may not use Hampton Farms branding, logos, or marketing materials without prior written permission.
10. Suspension & Termination
Hampton Farms reserves the right to suspend or terminate any wholesale account at any time, with or without cause. Upon termination, all outstanding balances become immediately due.
11. Limitation of Liability
To the maximum extent permitted by law, Hampton Farms' liability under these Terms is limited to the value of the products purchased in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
12. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any disputes will be brought in the state or federal courts located in Northampton County, North Carolina.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active wholesale customers via email at least 30 days before they take effect.
